When you open an account with Grow Sphere Capital, you enter into a separate account agreement that governs the specific terms of your account relationship with us. These general Terms and Conditions supplement but do not replace your account agreement.

• Using our services for any illegal or unauthorized purpose
• Attempting to gain unauthorized access to our systems
• Interfering with or disrupting our services
• Transmitting viruses or other harmful code
• Violating any applicable laws or regulations

4. Investment Risks

All investments involve risk, including the potential loss of principal. Past performance does not guarantee future results. You should carefully consider your investment objectives, risk tolerance, and financial situation before making any investment decisions.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

6. Intellectual Property

All content on our website and applications, including text, graphics, logos, images, and software, is the property of Grow Sphere Capital Investments or its licensors and is protected by copyright, trademark, and other intellectual property laws.

7. Limitation of Liability

To the fullest extent permitted by law, Grow Sphere Capital Investments shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or relating to your use of our services.

You agree to indemnify and hold harmless Grow Sphere Capital Investments and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of our services or violation of these Terms and Conditions.

9. Modifications

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any changes constitutes acceptance of the new terms.

10. Investment-Specific Terms and Institutional Policies

10.1 Institutional Guidelines

Grow Sphere Capital Investments operates in accordance with its Institutional Guidelines, which establish standards for ethical conduct, risk management, regulatory compliance, and investor protection. These guidelines are incorporated by reference into all investor agreements and form an integral part of the contractual relationship between the Company and its investors.

10.2 Initial Investment Phase

The Initial Investment Phase (“Initial Phase”) commences on the date the Company receives an investor’s capital contribution and continues for a period of twelve (12) consecutive calendar months.

• Purpose: The Initial Phase is designed to allow portfolio stabilization and promote long-term growth through disciplined capital deployment and compounding strategies.
• Restriction for First-Time Investors: During the Initial Phase, withdrawal requests are strictly limited to realized profits, net of applicable fees, charges, and taxes. Withdrawal of principal capital is prohibited until the completion of the Initial Phase.
• Kindly note that after the first profit withdrawal, all customers/investors are required to make a new and fresh deposit in order to migrate to the next investment plan. Only upon successful migration to the next plan will the investor be eligible to request and process a second withdrawal, in accordance with the Company’s policies.

10.3 Operational Procedures

The Company’s operational procedures, including but not limited to investor onboarding, portfolio management, performance reporting, and dispute resolution mechanisms, are detailed in the Operations Manual.

The Operations Manual is accessible through the secure investor portal or may be provided upon request.

10.4 General Investment Terms

All investment activities are further governed by the Company’s General Terms and Conditions, which form part of the Investment Agreement and regulate, among other matters:

• Investor eligibility and KYC/AML requirements
• Management, performance, and administrative fees
• Limitations of liability and risk disclosures
• Termination rights, subject to Initial Phase restrictions
• Governing law and dispute resolution provisions

These documents are provided during onboarding and remain available through the investor portal at all times.

10.5 Withdrawal Procedures

Eligibility

• Successful completion of all KYC/AML verification requirements
• Account must be in good standing
• For first-time investors during the Initial Phase, withdrawals are restricted exclusively to realized profits

Procedure

1. Submit a withdrawal request through the secure investor portal, specifying the withdrawal amount and destination account.
2. Withdrawal requests are reviewed within forty-eight (48) business hours. The Company reserves the right to request additional verification or documentation.
3. Upon approval, funds are transferred within three (3) business days via cryptocurrency transfer, unless otherwise specified.

Withdrawal of principal capital during the Initial Phase is not permitted except in exceptional circumstances, subject to Board approval and the potential application of penalties, fees, or other conditions as determined by the Company in its sole discretion.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
